Okyi User Agreement

Welcome to Okyi ("Platform").

These Terms govern your relationship with us and constitute a legally binding agreement between you and us that sets out the terms and conditions governing your access to and use of the Platform and our related websites, services, applications, products and content.

By accessing or using our services, you confirm that you are entering into a binding contract with Okyi and you agree to abide by these terms. If you do not agree to be bound by all of these terms, please do not access or use the platform or our services. Please take the time to read these terms carefully.

We will periodically modify these terms, such as when we update service features, merge multiple applications or services into a single service, or encounter regulatory changes. We will make reasonable efforts to notify you of significant changes to these terms, such as through notices on the platform. Please review the terms regularly to understand such changes.

In order to access or use some of our services, you need to create an account with us. When creating this account, you must provide accurate and up-to-date information and keep it up to date. You are fully responsible for the activities that occur under your account (including liability to us and others).

We reserve the right to disable your user account at any time, especially if you fail to comply with any provision of these Terms, or if your activities violate the rights of third parties, or violate applicable laws or regulations.

If you no longer wish to use our services and wish to delete your account, please contact us within the app and we will guide you through the entire process. Once you choose to delete your account, you will not be able to reactivate your account or retrieve any content or information you have added.

Your access to and use of the Service is subject to these Terms and all applicable laws and regulations. You may not:

Unauthorized copying, modification, adaptation, translation, reverse engineering, disassembly, discompilation or creation of any derivative work of the Service, including but not limited to any document, form or archive (or any part thereof), or attempting to identify the source code, algorithms, methods or techniques embodied in the Service or any derivative work thereof;

- Distribute, license, transfer or sell all or part of the content of the service or any derivative works thereof;

- Marketing, renting or leasing services at a cost or fee, or using services for advertising or commercial solicitation;

Without our express written consent, use the Services for any commercial or unauthorized purpose, including communicating or promoting any commercial advertising, solicitation, or junk email.

- Interfere with or attempt to interfere with the normal operation of the Service, disrupt our website or any network connected to the Service, or bypass any measures we may use to prevent or restrict access to the Service;

- Incorporate the Service or any part thereof into any other program or product. In such case, we reserve the right to refuse service, terminate an account, or restrict access to the Service in our sole discretion.

Use automated scripts to collect information from services or interact with services in other ways.

Impersonate any person or entity, or misrepresent or otherwise misrepresent you or your association with any person or entity, including giving the impression that any content you upload, post, transmit, distribute, or otherwise provide comes from the service.

Using or attempting to use someone else's account, service, or system without authorization from Okyi, or creating a false identity on the service.

- Upload, transmit, distribute, store or otherwise make available using the Services in any manner:

Files containing viruses, Trojans, worms, logic bombs, or other malicious or technically harmful materials.

Any unsolicited or unauthorized advertising, solicitation, promotional materials, "junk email" or any other prohibited form of solicitation.

- Any private information of any third party, including addresses, phone numbers, email addresses, numbers and characteristics in personal identification documents, or credit card numbers;

Any material that infringes or may infringe any copyright, trademark or other intellectual property or privacy rights of Okyi or any other person;

Any material that defames anyone, offends, is hateful, defamatory, inflammatory, or otherwise illegal.

- Any material that constitutes, encourages, or provides instructions for criminals to commit crimes, dangerous activities, or self-harm or cause civil liability;

- Any material intentionally designed to provoke or confront others, especially malicious comments and bullying, or material intended to harass, harm, insult, harm, intimidate, trouble, embarrass, or make others uncomfortable;

- Any material containing any form of threat, including threats of physical violence;

- Any racist, profane or discriminatory material, including discrimination based on a person's race, religion, age, gender, disability or sexual orientation;

- Any material that is harmful or abusive to children;

Any material that you are not authorized to disseminate under any legal or contractual relationship.

Any answers, responses, comments, opinions, analyses, or suggestions that you provide without proper permission or other qualifications.

- or in Okyi's sole judgment, objectionable or restricting or prohibiting any other person from using the Service, or may expose Okyi, the Service, or its users to any type of damage or liability.

In addition to the above provisions, your access to and use of the Services must always comply with our Community Guidelines.

We reserve the right, at any time and without notice, to remove or disable Accessible Content for any reason or no reason at our sole discretion. Some of the reasons we may remove or disable Accessible Content may include finding content objectionable, in violation of these Terms or our Community Guidelines, or otherwise harmful to the Service or our users, or otherwise in violation of local laws and regulations. Okyi only provides a chat platform and cannot be expected to monitor all content at all times, but will strive to remove offensive content when notified. We reserve the right to remove your account assets, such as gold coins, diamonds, or other assets of a similar nature.

Intellectual property

We are the owner or licensee of all intellectual property rights in the service and platform. These works are protected by global intellectual property laws and treaties, including copyright rules. All these rights are reserved. All trademarks, service marks, and logos ("trademarks") displayed on the platform or when we provide services are the exclusive property of Okyi and its affiliates.

We respect intellectual property rights and require you to do the same. As a condition of your access to and use of the Services, you agree not to use the Services to infringe any of our intellectual property rights, including trademarks and Okyi Content (as defined below), or the intellectual property rights of third parties. We reserve the right, at any time and in our sole discretion, with or without notice, to block access to and/or terminate the account of any user or third party who infringes or is alleged to infringe any copyright or other intellectual property rights belonging to Okyi.

Content

As between you and Okyi, all content, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, and all intellectual property rights related thereto ("Okyi Content") on the Service are owned or licensed by Okyi, and you or your licensor will own any User Content that you upload or transmit through the Service. Use of Okyi Content or materials on the Service for any purpose not expressly permitted under these Terms is strictly prohibited. Okyi Content may not be downloaded, copied, distributed, transmitted, broadcast, displayed, sold, licensed, or exploited for any purpose without our or, where applicable, our licensor's prior written consent. We and our licensors reserve all rights not expressly granted in their Content.

You acknowledge and agree that we may generate revenue, increase goodwill, or otherwise increase our value through your use of the Services, including through the sale of virtual goods and value-added services, and that you will not be entitled to any such revenue, goodwill, or value unless expressly permitted by us in these Terms or other agreements you have entered into with us.

You acknowledge and agree that when you view content provided by others on the service, you do so at your own risk. The content on our service is for general information purposes only and does not constitute advice that you should rely on. Before taking or avoiding any action based on the content on our service, you must obtain professional advice.

We make no representations, warranties, express or implied, that any Okyi Content (including User Content) is accurate, complete or up-to-date. If our Service contains links to other sites and resources provided by third parties, those links are provided for your information only. We have no control over the content of those sites or resources. Such links should not be construed as our approval of those linked sites or the information you may obtain from them. You acknowledge that we have no obligation to pre-screen, monitor, review or edit any content (including User Content) posted by you and other users on the Service.

User generated content

Users may be permitted to upload, post or transmit or otherwise make available Content through the Service, including but not limited to any text, photographs, user videos, audio recordings and musical works contained therein, including videos containing locally stored recordings from your personal music library and ambient noise ("User Content"). The information and materials in User Content have not been verified or approved by us. The views expressed by other users about the Service (including through the use of virtual gifts) do not represent our views or values.

Whenever you access or use features that allow you to upload or transmit user content through the service (including through certain third-party social media platforms), or contact other users of the service, you must comply with the standards set forth in "Your Access and Use of Our Services" above. You may also choose to upload or transmit your user content on third-party hosted websites or platforms. If you decide to do so, you must comply with their content guidelines and the standards set forth in "Your Access and Use of Our Services" above.

You guarantee that any such contribution meets these standards, and you will be responsible for us and compensate us for any violation of this guarantee. This means that you will be responsible for any loss or damage we suffer as a result of your violation of the guarantee.

You or the owner of your User Content still owns the copyright to the User Content sent to us, but by submitting User Content through the Service, you hereby grant us an unconditional, irrevocable, non-exclusive, royalty free, fully transferable, perpetual worldwide license to use, modify, adapt, reproduce, create derivative works from, publish or transmit or distribute, and authorize other users of the Service and other third parties to view, access, use, download, modify, adapt, reproduce, create derivative works from, publish or transmit your User Content in any format and on any platform.

You further grant us a royalty free license to use your username, image, sound and likeness to identify you as the source of any of your User Content.

Give up the right to user content.

By posting User Content to or through the Service, you waive any right to prior inspection or approval of any marketing or promotional material related to such User Content. You also waive any and all rights of privacy, publicity, or any other similar nature related to your User Content or any portion thereof, unless privacy settings are applied when you post such Content. To the extent that any moral rights are non-transferable or transferable, you hereby waive and agree never to assert any and all moral rights, or to support, defend, or allow any action based on any moral rights you may have in or through any User Content posted through the Service.

We also have the right to disclose your identity to any third party who claims that any user content you post or upload on our services violates their intellectual property or privacy rights, and such disclosure will be made in accordance with a legally binding court order.

We or authorized third parties reserve the right, in our sole discretion, to crop, edit or refuse to publish your content. We have the right to remove, ban, block or remove any post you make on our service if we believe that your post does not meet the content standards set out in "Your Access and Use of Our Services" above. In addition, we have the right, but not the obligation, in our sole discretion, to remove, ban, block or remove any User Content that we believe violates these Terms; violates applicable local laws, or responds to complaints from other users or third parties, with or without notice, and without liability to you. Therefore, we recommend that you keep a copy of any User Content you post to the Service on your personal device to ensure that you have permanent access to a copy of such User Content. We do not guarantee the accuracy, completeness, appropriateness, or quality of any user content, and we are not responsible for any user content under any circumstances.

You can control whether your User Content is available on the Service to all other users of the Service or only to those you approve of. To restrict access to your User Content, you should select the privacy settings available within the Platform.

We are not responsible for any content submitted by users and published by us or authorized third parties.

If you wish to complain about information and materials uploaded by other users, please contact us within the OkyiAPP application. Before we respond to your request, you may need to verify your identity or account details.

Okyi takes reasonable measures to promptly remove any infringing materials we find from our services. In appropriate circumstances, Okyi's policy is to disable or terminate the accounts of service users who repeatedly infringe on the copyrights or intellectual property rights of others.

While our own staff are constantly working to develop and evaluate our own product ideas and features, we are proud to closely monitor the interest, feedback, comments, and suggestions we receive from our user community. If you choose to contribute by sending us or our staff any ideas about products, services, features, modifications, enhancements, content, improvements, technologies, content offerings (e.g. audio, visual, games, or other types of content), promotions, strategies, or product/feature names or any related documentation, artwork, computer code, diagrams, or other materials (collectively, "Feedback"), the following terms will apply regardless of what your incidental communication may say in order to avoid future misunderstandings. Therefore, by sending us feedback, you agree that:

Okyi has no obligation to review, consider, or implement your feedback, or to return all or part of any feedback to you for any reason.

Feedback is provided on a non-confidential basis, and we are under no obligation to keep any feedback you send confidential or avoid using or disclosing it in any way.

You irrevocably grant us a perpetual and unrestricted license to reproduce, distribute, create derivative works, modify, publicly perform, communicate to the public, provide, publicly display, and otherwise use and exploit Feedback and its derivative products for any purpose, without restriction, free of charge, and without attribution, including by making, using, selling, offering for sale, importing, and promoting commercial products and services that contain or embody Feedback, whether in whole or in part, whether provided or modified.

Exclusion guarantee

None of the contents of these terms affect any statutory rights that you cannot contractually agree to change or waive, and as a consumer, you always have the right to enjoy these rights in law. These services are provided "as is" and we make no warranties or representations about them. In particular, we do not represent or guarantee to you:

Your use of the service will meet your requirements.

Your use of the service will be uninterrupted, timely, secure, or error-free.

Any information you obtain as a result of using the service will be accurate or reliable.

We may change, suspend, withdraw, or limit the availability of all or any part of our platform for commercial and operational reasons at any time without notice

Limitation of liability

Nothing in these terms excludes or limits our liability for losses that may be unlawfully excluded or limited by applicable law. This includes liability for death or personal injury resulting from our negligence or the negligence of our employees, agents, or subcontractors, as well as fraud or fraudulent misrepresentation.

According to the above paragraph, we are not responsible for you:

(1) any loss of profits (whether directly or indirectly caused); (2) any loss of goodwill; (3) any loss of opportunity; (4) any loss of data suffered by you; (5) any indirect or consequential loss you may suffer; or (6) any loss or damage you may suffer as a result of the following reasons.

Any changes we may make to the service or any permanent or temporary termination of the service (or any feature in the service);

Delete, destroy, or fail to store any content and other communication data maintained or transmitted by you using the service.

Or you failed to protect the security and confidentiality of your password or account details.

You agree not to use our platform for any commercial or commercial purpose, and we will not be liable to you for any loss of profits, business losses, goodwill or business reputation losses, business interruptions or business opportunities.

Regardless of whether we have been informed or should have been aware of the possibility of any such loss, these limitations of our liability to you shall apply.

Although we have taken reasonable security measures, we do not guarantee that the platform and our services are completely secure or free of errors, viruses, "Trojan horses" or any other type of malicious code, files or programs.

- Abusing our Services and Platform by intentionally uploading any content containing software viruses, "Trojan horses" or any other computer code, files or programs that may alter, damage or interrupt the functionality of the Platform or any person's hardware or software, and you must take reasonable precautions to ensure that any such uploaded content is screened.

Attempting to access the platform, storage platform servers, or any servers, computers, or databases connected to our platform without authorization.

Attacking platforms through Distributed Denial-of-service or Distributed Denial-of-service. Violating this provision may constitute a criminal offense. We will report any such violations to relevant law enforcement agencies and cooperate with them to disclose your identity. If such violations occur, your right to use the platform and our services will immediately terminate.

The service is only available to persons aged 13 and over (subject to other restrictions that may be imposed by applicable law). Using the service indicates that you have exceeded the relevant age specified here. If we become aware that a person under the relevant age mentioned above is using the service, we will terminate the user's account.

Our failure to adhere to or enforce any provision of these Terms shall not be construed as a waiver of any provision or right.

We do not guarantee that our services are secure or free of vulnerabilities or viruses. It is your responsibility to configure your information technology, computer programs, and platforms to access our services. You should use your own virus protection software.

If any court with the authority to determine the matter rules that any provision of these Terms is invalid, that provision will be deleted from the Terms without affecting the remainder of the Terms, and the remaining provisions of the Terms will continue to be valid and enforceable.
